First and foremost is The Joker, played by the late Heath Ledger. Twisted, scarier and crazier than before. The new bike that comes out of the Batmobile is great, and some of Batman's new gadgets are very good, except for the sonar radar system which is very stupid.
The rest of the characters are all good too, Gary Oldman's Gordon is the most normal person in the movie, and also the 4th most important character in the story. Then Michael Caine's Alfred and Morgan Freeman's Lucius Fox provide the wise commentary and support, and finally Maggie Gyllenhaal as the new Rachel Dawes is very good too.
All in all, the movie is excellent though still not better than Spidey 2.

and the fact that Batman has to share the spotlight with The Joker, Harvey Dent/Two-Face and Gordon in this one goes against it. in Spiderman 2 the character with the big decisions and dilemmas was still Peter/Spidey, here Batman is behind Harvey Dent on that sense. Batman is also not the coolest character in the movie (that goes to Ledger's Joker, of course), while in Spiderman he still was it even with such a great character as Doc Ock was.
plus, as I said before, I dont completely love this Bruce and Batman as characters (in this one and Begins) with the raspy voice, Batman too dark and Bruce with the extra cocky/asshole attitude (Bruce is just not a very likeable person). On the other hand, I loved Spiderman in the first 2 movies (not so much in the third one with the whole black suit and the emo attitude).

I liked Iron Man more than I liked The Dark Knight, but I know The Dark Knight is the better movie. With Spiderman 2, I still think it's the better movie and I like it more.
